The PassportByTrade site is part of the LAB STORY SUPPORT PROGRAM LLC. These Terms and Conditions (“Terms”) cover use of the sites on this network.
Acceptance of terms
The PassportByTrade is an internet site for citizenship and residency program, operated by LAB STORY SUPPORT PROGRAM LLC. (“PassportByTrade”, “us”, “we”, or “our”), a United States immigration consultancy organization. Please read these terms and conditions (“Agreement”, “Terms”, “Terms and Conditions”) carefully before using our services provided on the Network (collectively, “Services”). Your access to and use of the Service is conditioned on your acceptance of and compliance with this Agreement. You may use the Service only if you can form a binding contract with PassportByTrade, and only in compliance with this Agreement and all applicable local, state, national, and international laws, rules and regulations. This Agreement applies to all investors, users and others who access or use the Services. By accessing or using the Services you agree to be bound by this Agreement. If you disagree with any part of the Agreement then you may not access the Services.
Access
PassportByTrade may provide the Services that are selected by you, subject to the terms and conditions of this Agreement, solely for your own use, and not for the use or benefit of any third party. If you are using the Services on behalf of an organization or entity (“Organization”), then you are agreeing to these Terms on behalf of that Organization and you represent and warrant that you have the authority to bind the Organization to these Terms. In that case, “you”, “your”, and “User” refers to you and that Organization. Services shall include, but not be limited to, any services PassportByTrade performs for you, as well as the offering of any Content on the Network.
PassportByTrade will use reasonable efforts to ensure that the Services are available twenty-four hours a day, seven days a week. However, there will be occasions when the Network and/or Services will be interrupted for maintenance, upgrades and repairs or due to failure of telecommunications links and equipment. Every reasonable step will be taken by PassportByTrade to minimize such disruption where it is within PassportByTrade’s reasonable control. You agree that neither PassportByTrade nor the Services will be liable in any event to you or any other party for any suspension, modification, discontinuance or lack of availability of the Network, the service, any User Content, or other Content. PassportByTrade retains the right to create limits on use and storage in its sole discretion at any time with or without notice.
Application
As a condition to using PassportByTrade, you shall provide PassportByTrade with accurate, complete, and updated registration information, including your real name and e-mail address. Failure to do so shall constitute a breach of this Agreement, which may result in immediate termination of our contract. You may not (a) select or use as a name a name of another person with the intent to impersonate that person; or (b) use as a name a name subject to any rights of a person other than you without appropriate authorization. PassportByTrade reserves the right to refuse application of, or cancel an applicant’s application in its discretion.
Termination
PassportByTrade may terminate, suspend, or limit the Services at any time, including the availability of a feature, database, or Content, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms. All provisions of the Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity and limitations of liability.
Either party may terminate the Services at any time by notifying the other party by any means. Upon termination of your contract, your right to use our Services, access our website, and any Content will immediately cease. Termination of your access to and use of the Services shall not relieve you of any obligations arising or accruing prior to such termination or limit any liability which you otherwise may have to PassportByTrade, including without limitation any indemnification obligations contained herein.
Content
User Content
“User Content” means any information, text, graphics, or other materials uploaded, downloaded or appearing on the Services. You retain ownership of all User Content you submit, post, display, or otherwise make available on the Services.
Subject to these Terms, PassportByTrade gives you a worldwide, royalty-free, revocable, non-assignable and non-exclusive license to re-post any of the Content on PassportByTrade anywhere on the rest of the web, provided that the user who created the content has not explicitly marked the content as not for reproduction, and provided that you follow the attribution rules of the Creative Commons Attribution Share Alike license as follows:
You may only use the attribution required by this Section in the manner set out above. In exercising these rights, you may not implicitly or explicitly assert or imply any connection with, sponsorship or endorsement by PassportByTrade, or any Network user of you or your use of the work, without the separate, express prior written permission of PassportByTrade broadcast elsewhere.
You are responsible for all of your activity in connection with the use of our Services. Any fraudulent, abusive, or otherwise illegal activity or any use of the Services or Content in violation of this Agreement may be grounds for termination of your right to Services or to access our website.
We also reserve the right to access, read, preserve, and disclose any information as we reasonably believe is necessary to (i) satisfy any applicable law, regulation, legal process or governmental request, (ii) enforce the Terms, including investigation of potential violations hereof, (iii) detect, prevent, or otherwise address fraud, security or technical issues, (iv) respond to user support requests, or (v) protect the rights, property or safety of PassportByTrade.
Website Content
Our website (passportbytrade.com) and its contents are intended solely for the use of our clients and may only be used in accordance with the terms of this Agreement. All materials displayed or performed on the website.
API
The PassportByTrade API shall be used solely pursuant to the terms of the API Terms of Use.

We reserve the right to remove Content alleged to be infringing or otherwise illegal without prior notice and at our sole discretion. In appropriate circumstances, PassportByTrade will also terminate an applicant’s application processes if the applicant is determined to be a repeat infringer.

Trademarks
All right, title, and interest in and to the Network (excluding User Content) are and will remain proprietary to PassportByTrade and/or third parties. The Network is protected by copyright, trademark, and other laws of both the United States and foreign countries.
Except as expressly provided herein, nothing in the Terms gives you a right to use the PassportByTrade name or any of the Network trademarks, logos, domain names, and other distinctive brand features.
Fair use
You must not do any of the following while accessing or using the Service:
(i) use the Services for any unlawful purposes or for promotion of illegal activities;
(ii) upload or post any Content (as defined above) in violation of the provisions contained in this Agreement;
(iii) use the Services for the purpose of spamming anyone;
(iv) probe, scan, or test the vulnerability of any system or network or breach or circumvent any security or authentication measures;
(vi) access or search or attempt to access or search the Service by any means (automated or otherwise) other than through the currently available, published interfaces that are provided by PassportByTrade (and only pursuant to those terms and conditions), unless you have been specifically allowed to do so in a separate agreement with PassportByTrade (crawling the Network is permissible in accordance with these Terms, but scraping the Network without the prior consent of PassportByTrade except as permitted by these Terms is expressly prohibited);
(vii) forge any TCP/IP packet header or any part of the header information in any email or posting, or in any way use the Services to send altered, deceptive or false source-identifying information; or
(viii) interfere with or disrupt (or attempt to do so) the access of any user, host or network, including, without limitation, sending a virus, overloading, flooding, spamming, mail-bombing the Services, or by scripting the creation of Content in such a manner as to interfere with or create an undue burden on the Services.
Robots
If you operate a search engine or robot, or you republish a significant fraction of Network Content (as we may determine in our reasonable discretion), you must additionally follow robots.txt at all times.
Changes
We may revise these Terms from time to time. The most current version will always be on this page (or such other page as the Services may indicate). If the revision, in our sole discretion, is material we will notify you via posting to our website. By continuing to access or use the Services after those revisions become effective, you agree to be bound by the revised Terms.
General representation, warranty, liability, and indemnity
PassportByTrade has no special relationship with or fiduciary duty to you. Your access to and use of the Services or any Content is at your own risk. You understand and agree that the Services are provided to you on an “as is” and “as available” basis. Without limiting the foregoing, PassportByTrade and its partners disclaim any warranties, express or implied, of merchantability, fitness for a particular purpose, or non-infringement. Much of the Content of the Network is provided by and is the responsibility of the user or subscriber who posted the Content. PassportByTrade does not monitor the Content of the Network and takes no responsibility for such Content. We make no warranty and disclaim all responsibility and liability for the completeness, accuracy, availability, timeliness, security or reliability of the Services or any Content thereon. PassportByTrade will not be responsible or liable for any harm to your computer system, loss of data, or other harm that results from your access to or use of the Services, or any Content. You also agree that CareerVillage has no responsibility or liability for the deletion of, or the failure to store or to transmit, any Content and other communications maintained by the Services. We make no warranty that the Services will meet your requirements or be available on an uninterrupted, secure, or error-free basis. No advice or information, whether oral or written, obtained from PassportByTrade or through the Services, will create any warranty not expressly made herein.
To the maximum extent permitted by applicable law, you will indemnify and hold PassportByTrade and its directors, officers, employees, affiliates, agents, consultants, partners, vendors, service providers, and licensors harmless, including costs and attorney’s fees, from any claim or demand made by any third party due to or arising out of your access to the Network, use of the Services, the violation of this Agreement by you, or the infringement by you, or any third party using your account, of any intellectual property or other right of any person or entity.
In no event shall PassportByTrade, its directors, officers, employees, affiliates, members, agents, consultants, contractors, partners, vendors, service providers, and licensors be liable with respect to the Network or the Services for (a) any indirect, incidental, punitive, or consequential damages of any kind whatsoever; (b) damages for loss of use, profits, data, images, User Content or other intangibles; (c) damages for unauthorized use, non-performance of the Network, errors or omissions; or (d) damages related to downloading or posting Content. CareerVillage’s and the Network’s collective liability under this agreement shall be limited to one hundred United States Dollars. Some states do not allow the exclusion or limitation of incidental or consequential damages, so the above limitations and exclusions may not apply to you.

Miscellaneous
No agency, partnership, joint venture, or employment is created as a result of the Terms and you do not have any authority of any kind to bind PassportByTrade in any respect whatsoever.
The failure of either party to exercise in any respect any right provided for herein shall not be deemed a waiver of any further rights hereunder.
Passport By Trade shall not be liable for any failure to perform its obligations hereunder where such failure results from any cause beyond Passport by Trade’s reasonable control, including, without limitation, mechanical, electronic or communications failure or degradation (including “line-noise” interference).
The failure of Passport By Trade to enforce any right or provision of these Terms will not be deemed a waiver of such right or provision. In the event that any provision of these Terms is held to be invalid or unenforceable, the remaining provisions of these Terms will remain in full force and effect. If any provision of the Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that the Terms shall otherwise remain in full force and effect and enforceable.
Passport By Trade may transfer, assign or delegate the Terms and its rights and obligations without consent.
Both parties agree that the Terms is the complete and exclusive statement of the mutual understanding of the parties and supersedes and cancels all previous written and oral agreements, communications and other understandings relating to the subject matter of the Terms, and that all modifications must be in a writing signed by both parties, except as otherwise provided herein.
Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect. These Terms constitute the entire agreement between us regarding our Service, and supersede and replace any prior agreements we might have between us regarding the Service.
